Governance
Governance Structure
The Kenya Dental Association operates under a transparent governance framework to ensure accountability to our members and the public. Our operations are led by five primary organs:
The National Governing Council (NGC)
The NGC is the principal governing body of KDA, responsible for strategic management, policy direction, and oversight of all Association activities.
Composition:- President
- Vice President
- Secretary General
- Assistant Secretary General
- Honorable Treasurer
- Assistant Honorable Treasurer
- Immediate Past President
- Four elected Council Members
(including one Branch Representative) - Two Co-opted Members (as needed)
The National Executive Committee (NEC)
The NEC handles day-to-day secretariat operations under NGC direction.
Composition:- President
- Vice President
- Secretary General
- Honorable Treasurer
The Annual General Meeting (AGM)
The supreme decision-making body where members exercise their democratic rights.
Quorum: Two-thirds of members (reduces to 1/3 if reconvened)
- Confirmation of previous minutes
- President's and Treasurer's reports
- Auditor's report and budget approval
- Election of office bearers (in election years)
- Constitutional amendments (requires 2/3 majority)
Trustees of the Association
Three or more Trustees hold all immovable property, investments, and securities on behalf of KDA.
Eligibility Criteria:- KDA member for at least 10 years (cumulative)
- Practiced as registered dentist for minimum 25 years
- Demonstrated personal integrity, objectivity, and accountability
- Appointed at AGM for 4-year terms (renewable once)
Special General Meetings
For urgent or specific matters requiring member deliberation outside the AGM cycle.
Called by:
• NGC resolution, or
• Written requisition by 10% of members (held within 28 days)
- 14 days written notice to all members
- 7 days press advertisement where practicable
- Discussion limited to stated purpose only
